1. Overview and Acceptance of Use
Welcome to Brodbay Ltd! Brodbay Ltd Wholesale, Inc. (“Brodbay Ltd”) is a selective online marketplace that connects innovative brands with retailers. This connection is facilitated through its websites (collectively, the “Site”) and mobile applications (collectively, the “App”), together referred to as the “Services”. Throughout these Terms of Service (“Terms”), the terms “Brodbay Ltd”, “our”, “us”, and/or “we” pertain to Brodbay Ltd. The terms “you” and/or “your” refer to any visitor of the Site and/or the App, and any user of the Services, including any Member (as defined below). These Terms govern your access to and use of the Services and Collective Content (defined below) and constitute a binding legal agreement between you and Brodbay Ltd.
Please review these Terms, along with our Privacy Policy, Retailer Terms of Service, and Brand Terms of Service, all of which are incorporated by reference and govern your use and access to the Services. The Services are exclusively available to individuals who are 18 years or older. By utilizing the Services, you affirm and guarantee that you are of legal age to enter into a binding contract with Brodbay Ltd and meet the above eligibility criteria. If you do not meet these criteria, you must not access or use the Services. If you are accepting these Terms on behalf of a company or another legal entity, you affirm and guarantee that you have the authority to bind that entity to these Terms, and in such cases, “you” and “your” will refer to and apply to that entity.
YOU ACKNOWLEDGE AND AGREE THAT BY ACCESSING OR UTILIZING THE SERVICES (INCLUDING BY DOWNLOADING OR POSTING ANY CONTENT FROM OR ONTO THE SERVICES), YOU AGREE TO BE BOUND BY THESE TERMS AND ALL OTHER TERMS AND POLICIES MENTIONED IN THESE TERMS. THIS APPLIES WHETHER OR NOT YOU HAVE REGISTERED ON OR THROUGH THE SERVICES. IF YOU DO NOT AGREE, THEN YOU HAVE NO RIGHT TO ACCESS OR USE THE SERVICES OR COLLECTIVE CONTENT.

Brodbay Ltd will make every effort to ship Pre-Orders according to the expected ship date. If there are any changes, we will notify you as soon as possible. It is your responsibility to keep your shipping and contact information up to date to ensure the delivery of your Pre-Order. You will be charged when your Pre-Order is placed. No discounts, refunds, or credits will be offered due to any delays. Returns will not be accepted once the product is delivered.
These Pre-Order Terms and Conditions (the “Terms”) govern the placing of Pre-Orders (“Pre-Order”) with Brodbay Ltd (the “Company”) for the product (as defined below). Please read these Terms carefully before submitting your Pre-Order for Brodbay Ltd products. By submitting your Pre-Order, you agree to be legally bound by these Terms.
Section 1 - Products
You may Pre-Order products individually or in combination with each other. Brodbay Ltd may also offer additional products for Pre-Order at its discretion (collectively, the “Products”).
Section 2 – Pre-Order Registration
When placing a Pre-Order, you will need to provide certain information, such as your address and billing details. You represent and warrant that all such information is accurate, and you shall ensure that this information is kept current. The Company shall not be responsible or liable for inaccurate information or information that later becomes outdated, and shall have no obligation to determine the correct contact or shipping information. You can update your information at any time prior to your order shipment by sending an email to info@brodbay.co.uk.
Section 3 - Payment
You will be charged at the time of placing a Pre-Order, including any associated costs, such as shipping. If the Company is unable to ship a Pre-Order within one year of your order, the Company will process a full refund to you. By placing a Pre-Order, you expressly agree to the Company charging your provided payment method at such time. The purchase price does not include import duties, taxes, and other government charges, which are your responsibility.
Section 4 - Shipping
The expected shipping date for Pre-Order Products will be clearly noted on each product page, subject to reasonable delays in manufacturing and/or delivery. This date is only an estimate, is subject to change, and the Company does not guarantee it will be able to ship the Product by the estimated date. In the event of a delay, if the estimated shipment and/or release of the product is not met, the Company is not responsible for any damages that may occur, nor is it obligated, except as outlined in these Terms, to provide any discounts, refunds, or credits. Products will be shipped in the order the Company receives your Pre-Order. Shipments will be made Monday – Friday, excluding holidays, unless otherwise noted.
Section 5 – Non-Cancellable/Refundable
Once your Pre-Order is placed, it is final, non-cancellable, and non-refundable, except as specified in these Terms and the applicable terms of sale. Any orders containing made-to-manufacture items are strictly non-refundable, non-cancellable, and non-returnable.
Section 6 - Terms and Conditions of Sale
The purchase of Products is subject to additional terms and conditions provided by the Company. The current Terms and Conditions of Sale can be found below in the Terms of Service and are subject to change without notice. Your purchase of the Product will be subject to these Terms and Conditions. The Refund Policy does not apply to Pre-Order Products.
